MICHAEL TU

SOLICITOR DIRECTOR
CEO

Michael has a Juris Doctor from Bond University and a Bachelor of Commerce with a major in Finance from the University of Auckland.

Michael has been admitted to practice in New South Wales as well as in the High Court of Australia. He has broad experience in the areas of corporate and commercial law with a specialised focus on inbound investment from Asia-Pacific (China, in particular) into Australia. Michael has worked with top-tier Australian fund managers, wealth management advisers, property developers and property project marketing companies to provide a wide range of products and services to a broad range of investors including HNW and UHNW families and institutional investors both onshore and offshore.

Michael frequently travels to China to liaise with his Chinese counterparts in the settlement of various legal matters, which has contributed to his inherent and up-to-date understanding of the Chinese commercial environment. In turn, Michael is a sought after legal practitioner for his professional services, with strong connections to various leading onshore and offshore strategic alliance partners such as, migration agencies, financial services banks, property developers, investment managers and other professionals.

Prior to commencing work at Tuwin Lawyers, Michael has advised on some significant corporate transactions which includes:

  • advising the vendor of a chemical distribution business in the sale of their business to a German public company. The transaction value was in excess of AUD $100 million;
  • advising on the formation and structuring of wholesale property funds;
  • advising a Chinese state-owned-enterprise on a potential merger with an Australian renewable energy company;
  • capital raising for emerging resources companies;
  • providing legal due diligence on the acquisition of food processing businesses and consumer brands;
  • completed acquisitions of various classes of assets on behalf of offshore Chinese groups;
  • involvement with the proposed back door listing of a Chinese company on the ASX;
  • preparing offer documents on various rights issues; and
  • advising and drafting joint venture agreements and other commercial agreements.

Michael is:

  • a member of the Law Society of New South Wales;
  • a registered migration advisor with the Migration Agents Registration Authority (‘MARA’); and
  • the Current legal counsel of the Global Cantonese Association of Australia.

Michael is also a member of various social organisations including the Lions Club International, Buddha’s Light International Association and various Australian non-for-profit incorporated associations. He also engages in pro bono activities from both legal and non-legal perspectives.

LOU BAKER

SPECIAL COUNSEL

Lou graduated from Monash University in 1979 with a Bachelor of Economics and Bachelor of Laws.

Lou has been admitted to practice in New South Wales and Victoria and has also been admitted to practice in the High Court of Australia. Lou has an interest and is experienced in Alternative Dispute Resolution (‘ADR’) with a particular focus on mediation.

Lou has extensive banking experience, first, with Westpac in a retail banking environment during which time Lou was responsible for reviewing the internal bank documents to ensure compliance with the new Credit Act and, later, in the area of wholesale banking principally responsible for government and Asian business clients. Lou’s experience in legal audit and compliance is attributed to his time in the financial services industry.

Lou’s other banking experience includes Rabobank where he headed their corporate banking and, later, business banking units. His work included dealing with the bank’s structured finance and mergers and acquisitions teams. Prior to joining Tuwin Lawyers, Lou also worked in the securitisation team of the Bank of New York and as the general counsel of Allco Finance mortgage securitisation division of Mobius.

Lou also has private practice experience in a broad range of legal areas through his time as a panel solicitor for Chase AMP Bank, general commercial and insurance litigation as panel solicitor for a number of major insurers and small and medium sized enterprise (‘SME’) experience as the legal adviser and company secretarial adviser for a number of SME’s.

Lou has worked for the Australian government in various legal roles. His experience includes the Australian Army Legal Corps where he was exposed to a variety of work in areas such as military, criminal, civil and commercial law. Lou has also worked in the Pharmacy Guild of Australia (Canberra), specialising in Information Technology, Intellectual Property and the revision of government contracts.

Lou is an accredited Australian Small Scale Offerings Board (ASSOB) sponsor. His role enables him to assist companies raise capital without the expense and complication of an ASX listing at the early stages. Lou has also assisted both local and international companies prepare IPO documents for both NSX and ASX listings.

Lou is involved in community and pro bono projects and activities from both legal and non-legal perspectives. He co-established a community legal service and acted as its coordinator, was treasurer of the Recreation & Peer Support Group which assists people aged 18-35 with physical disabilities, and is a volunteer solicitor at the Yasmar Juvenile Justice Centre.

Lou is also a past president of the NSW Chapter of the Australian Corporate Lawyers Association.

BRUCE CHEN

SENIOR CONSULTANT

Bruce graduated from Peking University Law School, China, in 2006, which is considered one of the top leading law schools in China.

Bruce specialises in providing legal advice on inbound investment into China from offshore locations such as Australia, , corporate and securities investments and assisting foreign company expansions into the lucrative Chinese market. He is well acquainted with complex Chinese regulations, the foreign investment environment in China and is experienced in developing strategies to assist foreign companies develop their businesses in China in the most efficient and effective manner.

Prior to joining Tuwin Lawyers, Bruce has provided legal assistance to large companies listed on the Chinese stock exchanges and other countries’ stock exchanges, namely, Nanshan Aluminum Co. (stock code: 600219), Charm Communications Inc.(NASDAQ: CHRM), Meiqihua Co. (stock code: 000968), Jiangnan Huagong Co. (stock code: 002226), Nanshan Group Co., and BAIC Motor Corp.

Bruce travels to and from Beijing and Sydney annually and thus keeps up to date with the commercial environment and relationship between Australian and China. Bruce is passionate about developing the economic relationship between Chinese and Australian companies which he believes can be achieved through facilitating mutual cooperation and enhancing the cultural understanding between the two countries.
